 9.1 Level of commitment required by the Directors

9.1.1 Directors should devote sufficient time to their responsibilities including preparing in advance for all board and committee meetings, attending all board and committee meetings, and participating in ad-hoc or emergency meetings.

9.1.2 Extensive external responsibilities of Directors, for example through service on several boards, should be avoided.


9.1.3 The Directors playing the role of the Chairman or Committee Chairman should expect to devote a greater amount of time to board service than other Directors.

 

9.2 Process for ensuring director’s commitment


9.2.1 Outside commitments should be disclosed to the board by potential Directors before appointment, with indication of the time involved and any changes to outside commitments should be reported.


9.2.2 Upon appointment, the Directors should receive a letter outlining, among other things, time commitments required from them.


9.2.3 The company should disclose the statistics on attendance of individual Directors to board and committee meetings.
