17.1 The operating rules of the committees including meeting frequency, length, and agenda should be issued.
17.2 The board secretary will be the secretary of all committees, unless the board or a committee mentions other than that.
17.3 For the audit committee, the external auditors, the chief internal auditor and the CFO/finance director(s) should attend the meetings based on in-advance invitation from the audit committee.
Directors not on the committee may also choose to attend. The audit committee will have a meeting with the external auditors without the presence of management at least once a year to discuss issues of concern.
17.4 Chairman of audit committee, should specify the number of meetings per annum.
Meetings should be aligned with the periodical financial reports cycle and enough to enable the committee undertake its responsibilities. Initially the meetings shall not be less than four meetings annually.
